“Eon Pay” means the digital wallet platform through which Users may receive, store, view, and use EON.

“GoodnewsWorld Ecosystem” means the closed network of approved GoodnewsWorld platforms, services, events, products, merchants, branches, departments, and authorised activities where EON is accepted.

“User” means any person or entity who opens, accesses, or uses an Eon Pay account.

“Operator” means the organisation responsible for administering Eon Pay.

2. Acceptance of Terms

These Terms and Conditions govern the use of Eon Pay. By creating an account, accessing, receiving, holding, transferring, or using Eon Pay, the User agrees to be bound by these Terms and Conditions.

If the User does not agree with these Terms and Conditions, the User must not use Eon Pay.

3. Nature of Eon Pay

Eon Pay is a closed-loop digital wallet intended strictly for use within the GoodnewsWorld Ecosystem.

EON is not cash, legal tender, bank money, or a deposit account.

Eon Pay is not a bank account and does not provide banking services.

Balances held in Eon Pay do not earn interest, returns, dividends, or investment gains unless expressly stated in writing by the Operator.

Eon Pay is intended solely as a utility wallet for transactions and participation within the GoodnewsWorld Ecosystem.

4. Eligibility

To use Eon Pay, a User must meet the eligibility requirements determined by the Operator.

The Operator may require registration details, identification, verification documents, or other information before activating or maintaining an account.

The User confirms that all information provided is true, accurate, current, and complete, and must promptly update any changes.

5. Account Registration and Security

A User may be required to create an account to access Eon Pay.

The User is responsible for maintaining the confidentiality of their login credentials, PIN, password, device access, and any authentication methods used for the Wallet.

The User is fully responsible for all activity conducted through their account unless the Operator is notified in writing of unauthorised access.

The User must immediately notify the Operator of any suspected fraud, loss of credentials, unauthorised access, or security breach.

The Operator may suspend access where it reasonably suspects unauthorised use, fraud, misuse, or security risk.

6. Limited Use of EON

EON may only be used within the GoodnewsWorld Ecosystem.

EON cannot be used outside the GoodnewsWorld Ecosystem.

EON is only valid with authorised GoodnewsWorld-approved uses, merchants, branches, services, programmes, and platforms.

The Operator reserves the right to determine, approve, limit, add, or remove where EON may be used.

Any attempt to use EON outside the approved ecosystem is prohibited and may result in suspension or termination of the Wallet.

7. No Withdrawal or Cash Redemption

Users cannot withdraw EON from the Wallet.

EON cannot be redeemed for cash.

EON cannot be converted into physical currency or transferred into a bank account, mobile money account, or external financial wallet, unless expressly authorised by the Operator in writing.

EON balances are strictly for in-ecosystem use and have no guaranteed cash value outside the GoodnewsWorld Ecosystem.

Any request for cash-out, refund into cash, or withdrawal shall be declined unless required by applicable law or expressly approved by the Operator.

8. Loading and Receiving EON

EON may be credited to a User’s Wallet through approved methods determined by the Operator.

The Operator may set minimum or maximum load limits, account balance limits, transaction limits, or usage limits.

The Operator reserves the right to reject, delay, reverse, or investigate any top-up, credit, or allocation of EON where there is suspicion of error, fraud, policy breach, or unauthorised activity.

EON credited in error remains the property of the Operator and may be reversed, corrected, or removed without prior notice.

9. Transfers Within the Ecosystem

The Operator may allow Users to transfer EON to other Users or approved recipients within the GoodnewsWorld Ecosystem.

All transfers are final once completed, except where reversed by the Operator due to system error, fraud, dispute resolution, or policy breach.

The User is responsible for verifying recipient details before confirming any transfer.

The Operator shall not be responsible for losses arising from transfers made to the wrong recipient due to User error.

10. Permitted Uses

Eon Pay may be used only for lawful and authorised purposes within the GoodnewsWorld Ecosystem, including but not limited to approved goods and services, event-related transactions, merchandise purchases, accommodation, food and beverage payments where approved, giving, partnership or contributions where permitted, merchant transactions with approved GoodnewsWorld merchants, and other authorised uses introduced by the Operator from time to time.

11. Prohibited Uses

The User must not use Eon Pay for withdrawals or cash redemption.

The User must not use Eon Pay outside the GoodnewsWorld Ecosystem.

The User must not engage in unlawful, fraudulent, deceptive, or abusive conduct.

The User must not use the Wallet for money laundering, terrorism financing, or any prohibited financial conduct.

The User must not impersonate another person, use false identity information, or misrepresent authority.

The User must not sell, exchange, or trade EON for cash or external value without written approval.

The User must not exploit bugs, technical faults, or system vulnerabilities.

The User must not create multiple accounts for abuse, circumvention, or manipulation.

The User must not carry out unauthorised merchant activity or any use that damages the reputation, operations, or integrity of GoodnewsWorld or the Wallet system.

12. Fees and Charges

The Operator may apply fees, commissions, service charges, merchant fees, transaction charges, inactivity charges, or administrative charges for certain Wallet services.

Any applicable fees shall be communicated through the platform, published schedules, notices, or official communication channels.

The Operator may deduct authorised fees directly from the Wallet balance where applicable.

Continued use of the Wallet after notice of updated fees constitutes acceptance of such fees.

13. Transaction Records

The Wallet may provide transaction history, balance records, receipts, or confirmations.

The User is responsible for reviewing transaction history and reporting any discrepancy within 14 days of the transaction date.

If the User fails to report an issue within the required period, the record may be treated as correct, subject to applicable law.

The Operator’s digital records shall serve as prima facie evidence of Wallet activity unless proven otherwise.

14. Errors, Reversals, and Adjustments

The Operator may correct errors, reverse mistaken transactions, remove duplicate credits, and make adjustments where necessary.

The Operator may temporarily hold or restrict access to a balance while investigating suspected error, fraud, or misuse.

Where a User benefits from an erroneous credit, the Operator may recover the amount by reversal, deduction, set-off, or account restriction.

The Operator shall not be liable for delays caused by investigations, technical verification, or compliance processes.

15. Suspension and Restriction

The Operator may suspend, restrict, freeze, or limit a Wallet account immediately, with or without notice, where it reasonably believes that these Terms have been breached, fraud or misuse is suspected, the account poses a security or compliance risk, information provided is false or misleading, required verification has not been completed, or such action is necessary to protect the Wallet, Users, GoodnewsWorld, or the public interest.

16. Termination and Closure

The Operator may terminate or close a Wallet account at its discretion, subject to applicable law.

The User may request closure of the Wallet, subject to internal procedures, verification requirements, pending obligations, and applicable restrictions.

On closure, any remaining EON balance shall be dealt with in accordance with the Operator’s policies and applicable law.

Closure of an account does not affect any rights, obligations, liabilities, investigations, or breaches arising before the closure date.

17. Expiry and Inactivity

The Operator may impose expiry rules, inactivity periods, dormancy measures, or administrative handling procedures for unused Wallet accounts or balances.

Where applicable, the Operator shall communicate relevant rules through official channels.

The User is responsible for keeping the account active and informed of any notices affecting the Wallet.

18. Availability of Service

The Operator will use reasonable efforts to keep Eon Pay available, but does not guarantee uninterrupted or error-free access.

Access may be interrupted by maintenance, upgrades, technical faults, network failures, power outages, security incidents, force majeure events, or third-party service disruptions.

The Operator may modify, suspend, withdraw, or discontinue any part of the Wallet at any time.

19. Intellectual Property

All rights, title, and interest in Eon Pay, related software, branding, logos, text, features, systems, and materials remain the property of the Operator or its licensors.

The User is granted only a limited, non-exclusive, revocable right to use the Wallet for its intended purpose.

The User must not copy, modify, distribute, reverse engineer, scrape, exploit, or commercially use any part of the Wallet without prior written consent.

20. Privacy and Data Use

By using Eon Pay, the User consents to the collection, storage, processing, verification, and use of personal data for purposes including account administration, transaction processing, support, compliance, security, analytics, service improvement, and communication.

The Operator may share relevant information with affiliated entities, service providers, payment processors, merchants, regulators, auditors, law enforcement, or authorised partners where reasonably necessary and permitted by law.

The User must ensure that all personal data provided is accurate and lawful to share.

21. Compliance and Monitoring

The Operator may monitor account activity, verify transactions, request supporting information, and perform checks to ensure compliance with these Terms and applicable rules.

The User agrees to cooperate with any reasonable request for information, identity verification, or investigation.

Failure to cooperate may result in suspension, restriction, or termination of the Wallet.

22. Disclaimer

Eon Pay is provided on an “as available” and “as is” basis, to the fullest extent permitted by law.

The Operator does not warrant that the Wallet will always be secure, uninterrupted, error-free, or suitable for every purpose.

The Operator does not guarantee acceptance of EON at every merchant, branch, event, or service point within the ecosystem at all times.

23. Limitation of Liability

To the fullest extent permitted by law, the Operator shall not be liable for any indirect, incidental, consequential, punitive, or special loss or damage, including loss of profits, opportunity, business, goodwill, data, or reputation arising from or related to the use of Eon Pay.

The Operator shall not be liable for losses resulting from User negligence or error, unauthorised access caused by failure to protect credentials, technical interruptions or system downtime, wrong transfers initiated by the User, third-party failures, force majeure events, or lawful compliance actions.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

24. Indemnity

The User agrees to indemnify and hold harmless the Operator, GoodnewsWorld, affiliated entities, officers, employees, agents, and partners against claims, liabilities, damages, costs, and expenses arising from the User’s breach of these Terms, misuse of the Wallet, fraudulent or unlawful conduct, or violation of the rights of any third party.

25. Changes to the Terms

The Operator may amend, update, or replace these Terms and Conditions at any time.

Updated Terms may be communicated through the Wallet, website, email, SMS, notices, or other official channels.

The User should provide sufficient detail to allow investigation of any complaint.

The Operator will make reasonable efforts to address complaints within a reasonable period.

28. Entire Agreement

These Terms and Conditions constitute the entire agreement between the User and the Operator regarding the use of Eon Pay, except where supplemented by official policies, merchant rules, fee schedules, or written notices issued by the Operator.
